    1. Issuer and Scope<\/b><\/strong><\/li><\/ol>

      These Token Terms of Use (\u201cToken Terms<\/b><\/strong>\u201d) govern your acquisition, holding, transfer (where permitted), staking (if offered), and use of the WYND Utility Token ($WYND)<\/b><\/strong>.<\/p>

      These Token Terms apply alongside:<\/p>

      • Website Terms & Conditions,<\/li>
      • Privacy Policy,<\/li>
      • the WYND Utility Token Whitepaper and technical documentation (collectively, \u201cToken Documentation<\/b><\/strong>\u201d).<\/li><\/ul>

        If there is any conflict, the Token Documentation and these Token Terms prevail over general website content.<\/p>

        \u00a0<\/p>

        1. Utility Nature; No Investment<\/b><\/strong><\/li><\/ol>

          2.1 Utility Token Only<\/b><\/strong>
          $WYND is a utility token intended to enable access, loyalty, community participation, and service-related benefits within the WYND ecosystem.<\/p>

          2.2 Not a Security \/ Not an Investment<\/b><\/strong>
          $WYND is not<\/b><\/strong>:<\/p>

          • a share\/equity interest,<\/li>
          • a bond\/security token,<\/li>
          • e-money,<\/li>
          • a deposit,<\/li>
          • a profit participation right.<\/li><\/ul>

            $WYND provides no<\/b><\/strong>:<\/p>

            • dividends,<\/li>
            • profit share,<\/li>
            • repayment or redemption claim,<\/li>
            • voting rights in WYND entities.<\/li><\/ul>

              \u00a0<\/p>

              1. No Investment Representations; No Advice<\/b><\/strong><\/li><\/ol>

                By acquiring $WYND you acknowledge:<\/p>

                • you are not purchasing an investment product,<\/li>
                • no profit or appreciation is promised,<\/li>
                • WYND does not provide investment, tax, or legal advice.<\/li><\/ul>

                  You are responsible for your own decisions and should seek independent advice where needed.<\/p>

                  \u00a0<\/p>

                  1. Token Utility and Eligible Use Cases<\/b><\/strong><\/li><\/ol>

                    Subject to availability and technical integration, $WYND may be used for:<\/p>

                    • booking eligible WYND services,<\/li>
                    • qualifying for membership tier status (token-based),<\/li>
                    • accessing token-gated features\/events,<\/li>
                    • loyalty and referral benefits.<\/li><\/ul>

                      WYND may expand, limit, or discontinue specific utilities based on operational and regulatory requirements.<\/p>

                      \u00a0<\/p>

                      1. Pricing Logic, WYND Price Index (WPI), and Discount<\/b><\/strong><\/li><\/ol>

                        5.1 Dynamic Service Pricing (WPI)<\/b><\/strong>
                        Service prices may be displayed in fiat and\/or token equivalents and may be adjusted using an internal pricing logic that reflects USD pricing and token market considerations (\u201cWYND Price Index\u201d, WPI). The purpose is to keep service access economically consistent.<\/p>

                        5.2 Always-On Token Discount (15%)<\/b><\/strong>
                        Token holders receive an always-on 15% discount<\/b><\/strong>\u00a0when paying with $WYND for eligible<\/b><\/strong>\u00a0WYND services (\u201cToken Discount\u201d), independent of WPI adjustments<\/b><\/strong>.<\/p>

                        5.3 Eligibility and Exclusions<\/b><\/strong>
                        The Token Discount may exclude:<\/p>

                        • third-party pass-through costs (e.g., taxes, port fees where charged separately),<\/li>
                        • items explicitly marked \u201cexcluded from discount\u201d.<\/li><\/ul>

                          5.4 No Cash Value<\/b><\/strong>
                          Discounts and token utility benefits do not create cash-equivalent claims.<\/p>

                          \u00a0<\/p>

                          1. Membership Tiers \u2013 Token-Based Status Only<\/b><\/strong><\/li><\/ol>

                            Membership level is determined solely<\/b><\/strong>\u00a0by the number of $WYND tokens held or staked.<\/p>

                            \u201cAt WYND, your tokens are your status.\u201d<\/b><\/strong><\/p>

                            No points, credits, or booking activity determine tier status.<\/p>

                            \u00a0<\/p>

                            1. Referral Rewards<\/b><\/strong><\/li><\/ol>

                              Where referral programs are offered:<\/p>

                              • eligible referrers may receive a 10% token commission<\/b><\/strong>on the amount of $WYND purchased by referred participants, subject to the program rules displayed at the time of referral.<\/li><\/ul>

                                WYND may apply anti-fraud controls, eligibility criteria, and program changes.<\/p>

                                \u00a0<\/p>

                                1. Staking (If Offered)<\/b><\/strong><\/li><\/ol>

                                  8.1 Purpose<\/b><\/strong>
                                  Staking is designed to support long-term participation and unlock utility benefits.<\/p>

                                  8.2 No Interest \/ No Yield Promise<\/b><\/strong>
                                  Staking is not a promise of interest. Any rewards are utility-driven and subject to the displayed staking rules.<\/p>

                                  8.3 Lock-ups and Unstaking<\/b><\/strong>
                                  Staking may involve lock-up periods. During lock-up:<\/p>

                                  • tokens may be non-transferable,<\/li>
                                  • early unstaking may be restricted or impossible.<\/li><\/ul>

                                    Specific terms are provided in the staking interface and Token Documentation.<\/p>

                                    \u00a0<\/p>

                                    1. Wallet, Custody, and User Responsibility<\/b><\/strong><\/li><\/ol>

                                      9.1 No Custody<\/b><\/strong>
                                      WYND is not a custodian and does not hold your private keys.<\/p>

                                      9.2 Your Responsibility<\/b><\/strong>
                                      You are responsible for:<\/p>

                                      • wallet security,<\/li>
                                      • private keys and seed phrases,<\/li>
                                      • choosing compatible wallets,<\/li>
                                      • gas fees and network costs.<\/li><\/ul>

                                        Loss of private keys may cause permanent loss of tokens.<\/p>

                                        \u00a0<\/p>

                                        1. Technical, Blockchain, and Smart Contract Risks<\/b><\/strong><\/li><\/ol>

                                          You acknowledge risks including:<\/p>

                                          • network congestion, delays, failed transactions,<\/li>
                                          • protocol upgrades\/forks,<\/li>
                                          • smart contract bugs or vulnerabilities,<\/li>
                                          • third-party wallet or exchange failures.<\/li><\/ul>

                                            WYND does not guarantee uninterrupted on-chain functionality.<\/p>

                                            \u00a0<\/p>

                                            1. Market and Liquidity Risk<\/b><\/strong><\/li><\/ol>

                                              No secondary market is guaranteed. Token liquidity may be limited or absent. Token value may fluctuate or decline to zero.<\/p>

                                              \u00a0<\/p>

                                              1. Compliance, AML\/Sanctions, and Prohibited Use<\/b><\/strong><\/li><\/ol>

                                                You must not use $WYND to:<\/p>

                                                • violate sanctions laws,<\/li>
                                                • launder funds,<\/li>
                                                • engage in fraud or deceptive practices,<\/li>
                                                • market $WYND as an \u201cinvestment\u201d or guaranteed return.<\/li><\/ul>

                                                  WYND may restrict access to token features where required by law.<\/p>

                                                  \u00a0<\/p>

                                                  1. Suspension, Restrictions, and Termination<\/b><\/strong><\/li><\/ol>

                                                    WYND may suspend or restrict token utility features if:<\/p>

                                                    • required by law\/regulators,<\/li>
                                                    • necessary for security,<\/li>
                                                    • fraud\/abuse is suspected,<\/li>
                                                    • technical integrity is at risk.<\/li><\/ul>

                                                      Where possible, restrictions will be implemented proportionately.<\/p>

                                                      \u00a0<\/p>

                                                      1. Relationship to Regulated Investments<\/b><\/strong><\/li><\/ol>

                                                        $WYND is strictly separate from any regulated investment products. Regulated investments are governed only<\/b><\/strong>\u00a0by the Investment Documents of the relevant issuer.<\/p>

                                                        \u00a0<\/p>

                                                        1. Liability<\/b><\/strong><\/li><\/ol>

                                                          WYND is not liable for:<\/p>

                                                          • market value changes,<\/li>
                                                          • inability to access tokens due to user error,<\/li>
                                                          • third-party wallet failures,<\/li>
                                                          • blockchain network issues beyond our reasonable control.<\/li><\/ul>

                                                            Mandatory liability rules remain unaffected.<\/p>

                                                            \u00a0<\/p>

                                                            1. Amendments<\/b><\/strong><\/li><\/ol>

                                                              WYND may update these Token Terms for legitimate reasons, including regulatory compliance and technical\/operational stability. Changes will apply prospectively. Where required, explicit consent will be obtained.<\/p>

                                                              1. Governing Law and Jurisdiction<\/b><\/strong><\/li><\/ol>

                                                                German law applies. Jurisdiction (where permissible): Hamburg, Germany.<\/p>
